1. DEFINITIONS & INTERPRETATION

"Client", "You", or "User" refers to any individual, company, firm, partnership, hotel, establishment, or organization accessing this website, submitting enquiries, or availing services from NDS.

1.3

"Services" refers to contract manpower and support services provided by NDS, including but not limited to housekeeping, kitchen stewarding, security services, pest control services, and related manpower supply.

2. ACCEPTANCE OF TERMS

By accessing this website, submitting any enquiry, or engaging with NDS in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.

If you do not agree with these Terms, you must refrain from using this website or NDS services.

3. NATURE & SCOPE OF SERVICES

3.1

NDS is engaged in providing contract-based manpower and support services primarily for:

  • 3-star, 5-star, and 7-star hotels
  • Hospitality establishments
  • Commercial and corporate facilities
  • Industrial establishments

3.2

All services are provided strictly on a contractual basis, subject to mutually agreed scope, duration, commercial terms, and service conditions.

3.3

Information displayed on this website is for general informational purposes only and does not constitute a legally binding offer.

4. SERVICE ENGAGEMENT & AGREEMENT

4.1

Services shall commence only upon execution of a formal written agreement, work order, or service contract between NDS and the Client.

4.2

NDS reserves the right to accept or reject any service request at its sole discretion.

4.3

Any special terms agreed separately shall prevail over these Terms only if documented in writing and signed by authorized representatives of both parties.

5. EMPLOYMENT STATUS OF STAFF

5.1

All personnel deployed at the Client's premises shall remain employees of Nanda Deepa Solutions Pvt. Ltd. at all times.

5.2

Nothing in these Terms shall be construed as creating an employer-employee relationship between the Client and NDS personnel.

5.3

The Client shall not directly:

  • Employ
  • Absorb
  • Solicit
  • Assign unrelated duties

to NDS personnel without prior written consent from NDS.

6. TRAINING, VERIFICATION & CONDUCT

6.1

NDS ensures that deployed staff are:

  • Trained as per service requirements
  • Background verified
  • Deployed based on role suitability

6.2

While NDS takes reasonable care in selection and training, NDS shall not be held responsible for acts beyond reasonable control, including misconduct not attributable to negligence on NDS's part.

7. STAFF REPLACEMENT POLICY

7.1

NDS provides staff replacement support in cases of performance or conduct concerns, subject to conditions defined in the service agreement.

7.2

Replacement timelines depend on availability, location, skill requirements, and operational feasibility.

7.3

Replacement shall not apply in cases involving:

  • Unsafe or unlawful working conditions
  • Client misconduct
  • Non-payment or breach of contractual terms

8. CLIENT OBLIGATIONS

The Client agrees to:

  • Provide a safe, lawful, and hygienic working environment
  • Provide necessary tools, access, and facilities
  • Ensure compliance with applicable workplace laws
  • Make timely payments as agreed

NDS shall not be responsible for service deficiencies arising from Client non-compliance.

9. STATUTORY & LEGAL COMPLIANCE

9.1

NDS holds and maintains all applicable statutory registrations, including:

  • GST Registration
  • Labour License
  • Applicable statutory and regulatory approvals

9.2

NDS complies with applicable Indian labour laws, including PF, ESI, minimum wages, and statutory benefits.

9.3

The Client shall not hold NDS liable for penalties, losses, or claims arising due to Client-side violations of law.

10. PAYMENT TERMS

10.1

Service charges, billing cycles, and payment terms shall be as specified in invoices or service agreements.

10.2

Delayed payments may result in:

  • Interest charges
  • Suspension of services
  • Legal recovery proceedings

10.3

All applicable taxes, including GST, shall be charged as per prevailing laws.

11. LIMITATION OF LIABILITY

11.1

To the maximum extent permitted by law, NDS shall not be liable for:

  • Indirect or consequential losses
  • Loss of profit or business
  • Reputational damages

11.2

NDS's total liability, if any, shall be limited to the service fees paid for the relevant billing period.

12. INDEMNIFICATION

The Client agrees to indemnify and hold harmless NDS against all claims, losses, damages, penalties, or expenses arising from:

  • Client negligence
  • Misuse of NDS personnel
  • Violation of laws at the Client's premises

13. CONFIDENTIALITY

Both parties shall maintain strict confidentiality of:

  • Commercial terms
  • Business information
  • Operational details

This obligation shall survive termination of services.

14. INTELLECTUAL PROPERTY

All website content, logos, trademarks, designs, and materials are the exclusive property of Nanda Deepa Solutions Pvt. Ltd. and may not be used without prior written consent.

15. WEBSITE DISCLAIMER

15.1

Website content is provided on an "as-is" basis without warranties of any kind.

15.2

NDS does not guarantee uninterrupted, error-free, or virus-free website operation.

15.3

16. TERMINATION

18. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

Courts having jurisdiction over the registered office of Nanda Deepa Solutions Pvt. Ltd. shall have exclusive jurisdiction.

NDS reserves the right to modify these Terms & Conditions at any time. Updated versions will be posted on this page.

Continued use of the website or services constitutes acceptance of revised Terms.

20. EMPLOYEE REGISTRATION & ONBOARDING TERMS

The following terms apply to all employees registered through the Company's employee onboarding system:

20.1 Notice Period

All employees shall serve a mandatory 30 (thirty) calendar days' notice period prior to resignation or separation from the Company.

20.2 Salary Withholding

In the event an employee abandons employment, absconds, or leaves without serving the mandatory notice period or without prior written approval, the Company reserves the right to withhold all pending salary, wages, and Full & Final (F&F) settlement dues.

20.3 Uniform, Verification & Other Charges Recovery

The cost of uniforms, identity cards, police verification charges, medical examination charges, and any other applicable fees or miscellaneous charges incurred by the Company on behalf of the employee shall be recovered from the Full & Final settlement amount upon separation, unless returned in acceptable condition.

20.4 Company-Provided Accommodation

Where accommodation is provided by the Company:

  • Accommodation is solely for the employee's personal use during the term of employment
  • Entry of outsiders, family members, or unauthorised persons is strictly prohibited without prior written permission
  • The employee shall maintain the accommodation in clean and hygienic condition

20.5 Loss, Theft & Damage

The Company shall not be liable for any loss, theft, damage, or destruction of the employee's personal belongings or property kept within Company-provided accommodation.

20.6 Prohibited Substances & Conduct

The following are strictly prohibited on Company premises, work sites, Company-provided accommodation, and while on duty:

  • Consumption, possession, or distribution of alcohol, drugs, narcotic substances, or any intoxicants
  • Smoking or use of tobacco products (including chewing tobacco, gutka, pan masala) within accommodation premises and on duty
  • Engaging in fighting, violence, disorderly, or unlawful conduct
  • Illegal activities, misbehaviour, misuse of Company property, or any form of harassment
  • Possession or use of any prohibited or illegal items on Company premises or accommodation

Violation of any of the above shall result in direct and immediate termination of employment without notice, forfeiture of all pending dues, and may subject the employee to legal action including reporting to law enforcement authorities.

20.7 Employee Data Collection & Privacy

The Company collects personal data through its employee registration system including name, date of birth, parentage details, address, phone numbers, photograph, biometric impressions, qualification, employment details, and signatures. This data is used exclusively for employment administration, statutory compliance, payroll processing, and identity verification. Employee data shall not be sold or shared with third parties except as required by law or legitimate business operations.

20.8 Accuracy of Information

Employees declare that all information provided during registration is true, accurate, and complete. Misrepresentation or falsification shall constitute grounds for immediate termination and may result in legal action.
